Nuevo requisito a las sociedades en Costa Rica

A partir del 4 de junio pasado, todas las sociedades registradas en Costa Rica, deberán establecer un correo electrónico para así cumplir con la Ley10597.

Las sociedades tendrán dos opciones para cumplir con el requisito:

a. Que el representante legal comparezca ante un Notario Publico y en nombre de la sociedad solicite la inclusión de el correo electrónico.

b. Que la Asamblea de Socios, tome el acuerdo de reformar el pacto constitutivo e incluya así el correo electrónico.

Este requisito se deberá de cumplir a mas tardar el 5 de junio del 2025, fecha a partir de la cual el Registro no inscribirá documentos a aquellas sociedades que no lo hayan hecho.

Este proceso está exento del pago de timbres de Registro, y solo deberá cancelar los honorarios profesionales del Notario que efectúe el trámite.

Immigration Status in Costa Rica and Social Security for foreign workers.

Wages regulations aside, Costa Rica has a mandatory registration with Social Security Administration referred to locally as Caja Costarricense de Seguro Social – CCSS, according to the immigration regulations, applied equally to foreigners and local residents.
Modalities set by law are clear that the social security contributions affected whether the employer is paying directly to the foreign employees or people in any of the categories indicated in section 31 of the Immigration Regulation as a proof that they are covered by the medical insurance system.
“Section 31. – In accordance with the provisions of section 7, paragraph 7), 31 paragraph 6), 78) and 80), the categories referred to in section 78 (permanent residents), 79 (temporary residents) and 94 (special categories), paragraphs 1), 2), 3), 4), 7), 8), 9), 11), 12) of the Act ie cross-border workers, temporary workers, specific occupation, self-employed, researchers and teachers, refugees, asylum seekers, stateless persons, workers linked to specific projects and public interest projects and categories for humanitarian and other special categories in accordance with the section 137 of this Regulation in paragraphs a), b), c), d), e) except of dependent volunteers and professionals, f), g) have the assurance of insurance at CCSS and those supported by it, at the time they are granted immigration category and without interruption to the time to renew your immigration card, and consecutively.”
This legal requirement applies to any category of residency either temporary or permanent that is granted under the Costa Rican Immigration Law.
Penalties:Employers who do not comply with all obligations relating to social security, the payment of wages or other compensation to entitled workers hired and their labor rights, are subject to administrative fines and penalties established by law.
The Immigration Control Regulation, Nº 36769-G stated the following:
“Section 196.-In detecting the exercise of immigration control any irregularity relating to the obligations inherent to the social security system, the payment of wages or other compensation to foreigners regardless of their immigration status, the Immigration Department shall communicate to the Ministry of Labour and Social Security and CCSS, from within their competencies”.
All companies, individuals, public or private that provide occupation to foreign persons not authorized, may be sanctioned by the Immigration Department, with a fine ranging from two to twelve times the amount of a base salary (from $1600usd up to $16.000USD) Besides, all administrative fines that the Social Security Department and Ministry of Labor could apply.

WOS or Wholly Owned Subsidiary in Costa Rica

After a recent relocation process we attend, we are impressed about our country. pur client has operation in India for several years, and for many reasons (time zone, distance, etc) they decided to start a research process in the area, and choose Costa Rica, and DyNCR to assist during all the process.

In a short time, we started the incorporation process, licenses and permits, and also a recruitment process according with its instructions, our HHRR department interview more than 250 options. Today with a starting team of 12, they are more than happy and surprised about how fast the team learned, and how efficient they are, they think the same work should be made from 22 in India, here 12!!

Today, this new US company is having business in Costa Rica, we are convinced why more entrepreneurs are considering Costa Rica to open its subsidiary.

Crisis or challenges in Costa Rica?

Reading this week a Costa Rican financial newspaper, I found a story about the flowers industry and how they had a bad year. Nothing new in comparison with the stories we use to read nowadays. But my friend and mentor Pedro Vindas made the difference!.-

Pedro armed with years of knowledge and a company TRUSTING in him, implemented a program to improve all the process in the company this GENERATED a big change in the operation and consequently the sales were bigger.

So, Knowing Pedro, this not surprised me, but it gives me more reasons to confirm that this crisis give us a great CHALLENGE to improve and review how is our company running, does not CARE if has 5 o 1000 collaborators.

Immigration Status in Costa Rica – Investors

Due a recent resolution from Costarrican Immigration Offices, there is a better and simplest chance to obtain an immigration status as Investor in Costa Rica.-

Before this new resolution, the investment should be considered “good for Costa Rica” or with national impact.

From now, is just needed to invest or have investments for $200.000 in Costa Rica; lots or houses, properties, stocks, cds, etc, doesn’t matter if those are inscribed under your personal name, or under a corporation.-

Another good benefit is that this status grant the right to the foreigner to work in Costa Rica, in your own business.

This is a good change for those who are in Costa Rica as “eternal tourist” to get a legal status.

Business and Corporation Taxes Costa Rica

Today the country borders are just for the real world, and in my opinion everyday we are living more in a virtual than a real world. Many year ago, when we planned to visit another country, the trip preparation was a big work, because if you were not physically, then all the operation in the firm stopped.

Today, every time i fly i m “out ” just during the flying time, as soon as i landed, we are back in touch, and everything works great, doesn’t matter if you are here in Costa Rica, or in Daytona beach in flip flops !!!

Well, This happen with the companies and its taxes, more and more clients asked me about tripartite structures where for example a Costa Rican Corporations is selling services in US, for Italy clients, you can see here, that you can get the benefits of each country, a good human resources from a country, a good customer in the other, and a perfect tax treatment in the other.

In our case, Costa Rica has a territorial taxation structure, not a global taxation, then, in those cases where the incomes comes from products sold or services provided outside the country, those incomes are not consider as an income or profit taxable.
